Terms of Service
Last updated: October 2023. These terms outline the agreement between Envisiona and our clients regarding our professional services and collaboration standards.
Envisiona agrees to maintain the confidentiality of all proprietary information and trade secrets of the Client, including but not limited to customer data, business plans, and financial information. The Contractor agrees not to disclose any such information to any third party without the Client's prior written consent.
Any work created or performed by Envisiona for the Client under this Agreement shall be the property of the Client, and Envisiona agrees to assign any intellectual property rights in such work to the Client.
Either party may terminate this Agreement at any time upon written notice to the other party. In the event of termination, Client shall pay Envisiona for all services rendered up to the effective date of termination.
Envisiona is an independent contractor and not an employee of the Client. Envisiona is responsible for payment of all taxes, social security, and other employment-related expenses, and will not be eligible for any benefits provided to Client's employees.
Envisiona agrees to indemnify and hold harmless Client from any claims, damages, or expenses arising out of Elevate Inc.'s negligence or willful misconduct.
This Agreement shall be governed by and construed in accordance with the laws of the province of Ontario.
This Agreement constitutes the entire agreement between the parties and supersedes all prior negotiations, understandings, and agreements between them. This Agreement may not be amended or modified except in writing signed by both parties.
